Lifecycle capital for essential community infrastructure.
We own, operate, and maintain the HVAC and MEP infrastructure that keeps your building running. Whether we install new systems at the design stage or fund and take over your existing ones, we make a single commitment: the infrastructure is maintained, fully available, and ready whenever you need it, and we pay for it all.
Facilities whose services a community cannot do without, delivered by partners it can always rely on.
We take care of the essential infrastructure that keeps a building running – the systems people depend on every single day yet struggle to properly budget for or maintain.
Essential infrastructure means the mechanical, electrical, and life-safety plant inside the places a community relies on: hospitals and clinics, senior and long-term care, schools and campuses, and the multifamily buildings people call home. It’s the plant that delivers services that people cannot live without. Two tests define it:
Service essentiality
The service cannot be deferred or forgone. Heating, cooling, hot water, power, and life-safety qualify for acute care, long-term care, multifamily housing, and campus education.
Practical irreplaceability
The people who rely on the building have no ready alternative. A hospital may be the region's only source of a critical service line; a resident cannot simply relocate when the heat fails. Either way, the infrastructure has to work.
Parameters
Indicative
TERM
Long-dated, matched to the design life of the systems rather than to a credit cycle
SYSTEMS
Central plant, distribution, emergency and standby power, controls and metering
ENTRY
Acquisition of installed plant, or participation in the capital stack of a new development at design stage
COUNTERPARTY
Essential community infrastructure – independent healthcare, senior living, institutional, multifamily, and hospitality assets where the condition holds
The structure
Structure of the transaction.
We acquire the existing infrastructure at independently supported value, fund and execute the modernization program, and operate the systems for the term. The owner pays a defined service fee against set performance standards.
Capital release
The assessed value of the installed plant is paid to the owner at closing.
Risk transfer
The owner transfers the replacement obligation and operating risk, and converts a capital event into a contracted operating cost.
Contracted performance
Availability and environmental conditions are defined, measured, reported, and remediable.
Cost certainty
The service fee is fixed at execution and escalates by formula. It is not renegotiated year to year.
Execution
From first survey to commencement.
1
Assessment
Condition, remaining useful life, consumption, and preliminary valuation.
4–8 weeks
2
Structuring
Scope definition, service levels, title and conveyance review, capital consultation.
6–12 weeks
3
Documentation
Purchase and services agreement negotiation, board and lender approvals, conditions precedent.
8–16 weeks
4
Transition
Closing, capital program execution, phased commissioning, operational handover.
Hawthorne Energy Infrastructure is owned by Hawthorne World, which has designed, built, and operated high-performance and net-zero building systems since 1984 – including ground-source, solar, storage, and integrated mechanical plant across multifamily, senior living, and commercial assets.
